Accessibility of information regarding entrepreneurs (including companies) is very important for certainty in business transactions. Before the transaction, everyone should have the possibility to check basic information about the contracting party. It helps to take decision about concluding agreement and it may be useful also in case of conflict arisen on the grounds of cooperation with dishonest business partner. In the light of the above, in every country there should be a register established by authorities, containing all substantial information about entrepreneurs such as address, scope of business activity etc. In Poland there are two separate registers – one for entrepreneurs being physical persons and the other for companies. The aim of this article is to present the characteristic of National Court Register – the Polish companies register.

What Companies are in the Polish Companies Register?

Every commercial law company established in Poland has to be entered into the National Court Register. Since civil law companies are not legal persons, they are excluded from the above requirement. However, the owners of every civil company have to be separately entered into the register of entrepreneurs being physical persons.

In the light of the above, the following companies are entered into the Polish companies register:

  • general partnership (spółka jawna),
  • professional partnership (spółka partnerska),
  • limited liability partnership (spółka komandytowa),
  • limited joined-stock partnership (spółka komandytowo-akcyjna),
  • limited liability company (spółka z ograniczoną odpowiedzialnością),
  • joint-stock company (spółka akcyjna).

What Information are Included into the Register?

The National Court Register comprises the following information about the companies seated in Poland:

  • date of entering the company into the register,
  • the court which keeps register files of the company,
  • statistical number (REGON),
  • tax identification number (NIP),
  • full name of the company,
  • address of the company,
  • branches of the company (if any),
  • history of changes to the company’s articles of association,
  • way of the company foundation (including the history of company’s transformations),
  • partners, shareholders etc.,
  • share capital,
  • bodies of the company,
  • persons entitled to represent the company and way of the company’s representation,
  • areas of the company’s business activity,
  • information about financial reports of the company.

The above information are the most important information included into the register of Polish companies. However, the register comprises more details.
